Clear Terms, Fair Usage

By accessing or using TransactIQ (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent and warrant that you have authority to bind that entity to these Terms. If you do not agree to these Terms, you may not access or use the Service. We reserve the right to modify these Terms at any time; continued use after modifications constitutes acceptance.

You must be at least 18 years old and legally capable of entering into binding contracts. You agree to provide accurate, current, and complete information during registration and maintain the accuracy of such information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us at arbitragedge@proton.me of any unauthorized access or security breach.

You may use the Service for lawful business purposes including: (1) analyzing SEC filings and merger-related documents; (2) generating AI-powered summaries and deal analysis; (3) tracking portfolio positions and regulatory developments; (4) collaborating with team members within your organization. You must not: (1) reverse engineer, decompile, or attempt to extract source code; (2) use automated scraping or bulk download tools; (3) redistribute, resell, or sublicense the Service; (4) use the Service for illegal activities or market manipulation; (5) impersonate others or misrepresent your affiliation.

The Service is offered on a subscription basis with Free, Pro ($39/month), and Team tiers. Free tier includes up to 3 monitored companies and 3 AI summaries (lifetime limit). Pro tier includes up to 25 companies and 100 summaries per month. Team tier offers unlimited companies and custom limits. Subscription fees are billed in advance and are non-refundable except as required by law. You may purchase additional credit packs ($5 for 25, $10 for 100, $25 for 250 summaries). You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period. Unused credits do not roll over and are forfeited upon cancellation. Price changes will be communicated 30 days in advance.

TransactIQ retains all rights, title, and interest in the Service, including all software, algorithms, models, designs, trademarks, and documentation. You retain ownership of all documents you upload ("User Content"). By uploading User Content, you grant us a limited license to process, store, and analyze it solely to provide the Service. AI-generated summaries and analysis are jointly owned: you have unrestricted rights to use them for internal business purposes, while we retain rights to aggregated, anonymized insights for model improvement.

We treat all User Content as confidential and will not share it with third parties except: (1) as required by law or court order; (2) to service providers under strict confidentiality agreements; (3) with your explicit consent. User Content is not used to train general-purpose AI models accessible to other users. We may use anonymized, aggregated data for research and product improvement. We target 99.5% uptime (excluding scheduled maintenance). Planned maintenance windows are announced at least 48 hours in advance via email and in-app notifications. If uptime falls below 95% in any calendar month (excluding force majeure events), Pro subscribers are eligible for service credits equal to 10% of monthly fees per percentage point below 95%. Credits must be requested within 30 days and are applied to the next billing cycle.

API access is available exclusively on the Team tier with custom rate limits negotiated based on your usage requirements. Free and Pro tiers do not include direct API access but can integrate via our web interface. API keys must be kept confidential and rotated if compromised. We reserve the right to revoke API access for abusive usage patterns, including automated bulk ingestion or denial-of-service attempts. Contact sales for API access pricing and documentation.

You must not: (1) violate any applicable laws, regulations, or third-party rights; (2) transmit malware, viruses, or harmful code; (3) attempt to gain unauthorized access to our systems or other users' accounts; (4) interfere with or disrupt the Service; (5) use the Service to harass, abuse, or harm others; (6) scrape or systematically extract data for competitive purposes; (7) use the Service for high-frequency trading or algorithmic trading without prior written consent; (8) circumvent usage limits or payment requirements.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that: (1) the Service will be uninterrupted, secure, or error-free; (2) AI-generated summaries are accurate, complete, or suitable for investment decisions; (3) SEC filings will be available in real-time or without delay. You acknowledge that the Service provides information tools, not investment advice.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MERGERDOC ANALYST SHALL NOT BE LIABLE FOR: (1) INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES; (2) LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES; (3) DAMAGES ARISING FROM THIRD-PARTY CONTENT OR SERVICES; (4) UNAUTHORIZED ACCESS TO YOUR DATA. OUR TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM. Some jurisdictions do not allow limitation of liability, so these limitations may not apply to you.

You agree to indemnify, defend, and hold harmless TransactIQ, its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from: (1) your use or misuse of the Service; (2) your violation of these Terms; (3) your violation of third-party rights, including intellectual property or privacy rights; (4) User Content you submit.

You may terminate your account at any time via account settings or by emailing arbitragedge@proton.me. We may suspend or terminate your access immediately, without notice, if: (1) you breach these Terms; (2) payment fails after multiple attempts; (3) we are required to do so by law; (4) we discontinue the Service. Upon termination, you will lose access to the Service. We will retain data as described in our Privacy Policy for up to 90 days to allow account recovery. Termination does not relieve you of payment obligations for the current billing period.

For disputes not exceeding $10,000, you may pursue claims in small claims court. For all other disputes, you agree to binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. Arbitration will be conducted in Delaware unless otherwise agreed. You waive the right to participate in class actions or representative proceedings. Either party may seek injunctive relief in court for intellectual property violations.

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes not subject to arbitration shall be resolved exclusively in the state or federal courts located in Delaware. You consent to personal jurisdiction in such courts. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

We are not liable for any failure or delay in performance due to events beyond our reasonable control, including acts of God, natural disasters, wars, terrorism, labor strikes, government actions, internet outages, or cyberattacks. During force majeure events, we will make commercially reasonable efforts to restore service and provide timely updates.

These Terms, together with our Privacy Policy and any applicable subscription agreements, constitute the entire agreement between you and TransactIQ. If any provision is found unenforceable, the remaining provisions will remain in full force and effect. No waiver of any Term shall be deemed a waiver of any other Term. These Terms supersede all prior agreements or understandings.
